Trial Terms

These Trial Terms are for business-to-business trial users only. They are not intended for consumer use.

1. Purpose

These Trial Terms govern free trial, beta, pilot, evaluation, preview, or early-access use of ApexIQ WinCommand™.

They apply where Apex Edge Sales Engineering Limited gives an organisation access to ApexIQ WinCommand™ before, or outside, a paid subscription, to allow limited evaluation of the service before a business subscriber chooses whether to purchase a paid subscription.

2. Parties

These Trial Terms apply between:

Apex Edge Sales Engineering Limited, a company registered in England and Wales with company number 15821626, whose registered office is at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom; and

the organisation or business user approved to access ApexIQ WinCommand™ for trial, beta, pilot, evaluation, preview, or early-access purposes.

3. Relationship with other terms

Trial access is subject to:

• these Trial Terms;
• the Service Description;
• the Acceptable Use Policy;
• the Product Privacy Notice;
• the Cookie Notice;
• the Data Processing Agreement, where personal data is processed on the trial user's behalf;
• any written trial confirmation or account notice issued by Apex Edge Sales Engineering Limited.

If these Trial Terms conflict with the Online Subscription Terms, these Trial Terms apply to the extent of the conflict for the trial period.

4. Business use only

ApexIQ WinCommand™ trial access is provided for business and professional evaluation only.

By accessing the trial, the trial user confirms that it is acting in the course of business and not as a consumer. Consumer trial use is not permitted.

5. Trial duration

Unless otherwise agreed in writing, the free trial lasts for 14 days from the date trial access is activated.

Apex Edge Sales Engineering Limited may extend, shorten, suspend, or end trial access at its discretion. Trial access may expire automatically at the end of the trial period.

6. No payment card required for free trial

A payment card is not required for the standard free trial.

Free trial access does not automatically convert into a paid subscription. A paid subscription begins only if the trial user selects a paid plan, completes the approved subscription process, and accepts the applicable paid subscription terms.

7. Trial purpose

Trial access is provided only to allow the trial user to evaluate ApexIQ WinCommand™ for potential business subscription.

Trial access must not be used for:

• production reliance;
• live customer commitments;
• legal, security, procurement, compliance, financial, or professional advice;
• high-risk decision-making;
• processing Restricted Data;
• processing information the trial user is not authorised to process;
• building, testing, benchmarking, or training a competing product or service.

8. Product status during trial

ApexIQ WinCommand™ may be in development, early-access, beta, preview, pilot, or limited availability during a trial.

During trial use, the service may contain errors, be incomplete, change without notice, have limited features, have reduced support, have reduced availability, be suspended, be withdrawn, have limited export functionality, have limited retention, have incomplete documentation, or produce outputs requiring careful human review.

No feature, workflow, output, export, integration, scoring logic, recommendation, risk indicator, template, report, or roadmap item is guaranteed during the trial.

9. Scope of trial access

Trial access may be limited by duration, workspace, organisation, user count, authorised email domain, feature availability, export capability, support availability, storage or usage limits, permitted data types, territory, or product release status.

Apex Edge Sales Engineering Limited may apply, change, or remove trial limits at any time. At launch, guest or external users are limited to users with the same email domain as the trial organisation's tenant unless otherwise agreed in writing.

10. Trial user responsibilities

The trial user is responsible for:

1. ensuring only authorised business users access the trial;
2. managing user invitations and access;
3. protecting credentials;
4. ensuring trial use is lawful;
5. ensuring it has rights to enter any data into ApexIQ WinCommand™;
6. ensuring users comply with these Trial Terms and the Acceptable Use Policy;
7. reviewing all outputs before relying on them;
8. exporting any required data, using the JSON "Download my data" export, before the trial content is deleted (see Sections 14 and 15);
9. not entering Restricted Data;
10. not using the trial to make customer-facing, legal, security, procurement, financial, or commercial commitments without appropriate review.

11. Restricted Data

Unless Apex Edge Sales Engineering Limited expressly agrees otherwise in writing, trial users must not enter, upload, store, process, transmit, or generate the following in ApexIQ WinCommand™:

• special category personal data;
• criminal offence data;
• children's data;
• raw payment card information;
• passwords, secrets, private keys, API keys, or access tokens;
• production customer data unrelated to Sales Engineering deal execution;
• highly confidential security vulnerability information;
• unlawful, infringing, defamatory, discriminatory, malicious, or harmful content;
• information the trial user is not authorised to process or disclose.

Trial users should use low-risk, limited, representative business data wherever possible.

12. Personal data during trial

Where the trial user enters personal data into ApexIQ WinCommand™ for its own Sales Engineering deal execution purposes, the trial user is responsible for ensuring it has the required rights, notices, permissions, and lawful basis.

Where Apex Edge Sales Engineering Limited processes trial user-controlled personal data on behalf of the trial user, the Data Processing Agreement applies where incorporated or otherwise agreed.

Apex Edge Sales Engineering Limited may act as controller for account administration, authentication, billing where relevant, service communications, operational usage records, security, support administration, and business records.

13. Trial outputs

ApexIQ WinCommand™ may produce scores, recommendations, automated risk indicators, reports, summaries, templates, exports, or other operational outputs.

Trial outputs are provided for evaluation and internal review only. They are not legal advice, security advice, compliance advice, procurement advice, financial advice, tax advice, accounting advice, or a guarantee of deal outcome.

Trial users must not represent trial outputs as independently verified, certified, guaranteed, legally approved, security approved, procurement approved, financially approved, proof that a Technical Win will be achieved, proof that a customer will sign a contract, or proof that revenue will increase.

14. Export during trial

During the trial, the only data export available is the JSON "Download my data" export in account settings. This export provides a copy of the personal data associated with a user's account, including records that the user has created. It is provided per user and is not a tenant-wide or workspace-wide export.

CSV exports, PDF exports, and scheduled exports are not available on the trial plan. They require a paid subscription (Team plan or above).

Unless expressly agreed otherwise in writing:

• the "Download my data" export is available during the active trial and, as a data subject right, continues to be available during the limited retention window after trial expiry, suspension, or termination, until the trial content is permanently deleted (see Section 15);
• CSV exports, PDF exports, and scheduled exports are not provided during the trial;
• the trial user is responsible for exporting any required data, using the JSON "Download my data" export, before the trial content is deleted;
• Apex Edge Sales Engineering Limited is not responsible for converting exports into another format, or for any loss arising from a failure to export trial content before it is deleted.

15. Trial expiry and deletion

Unless the trial converts to a paid subscription, Apex Edge Sales Engineering Limited may delete trial user content from active systems after the trial expires:

• trial content may be deleted from active systems within 30 days after trial expiry, termination, or non-conversion;
• deleted trial content may remain in backups for up to 30 days before expiry or overwriting in the ordinary backup cycle;
• longer retention may apply where required for legal, security, disaster recovery, supplier-controlled backup cycles, fraud prevention, dispute management, accounting, or operational reasons.

16. Conversion to paid subscription

A trial converts to a paid subscription only when the trial user:

1. selects a paid plan;
2. completes the approved purchase or contracting process;
3. provides required billing information;
4. accepts the applicable paid subscription terms;
5. receives subscription confirmation or access to a paid plan.

Where the trial converts to a paid subscription, trial workspace content becomes paid subscriber content. Apex Edge Sales Engineering Limited is not required to preserve trial data for conversion unless expressly agreed or technically supported.

Billing, invoice, VAT, refund, payment, and purchase order questions should be sent to billing@apexedgesalesengineering.com.

17. Support during trial

Trial support is provided on a commercially reasonable basis unless expressly agreed otherwise.

No response time, resolution time, support availability, escalation time, service credit, uptime percentage, recovery time objective, or recovery point objective applies to trial access unless expressly agreed in writing.

Support requests should be sent to support@apexedgesalesengineering.com. Trial users should not include Restricted Data in support requests.

18. Security during trial

Apex Edge Sales Engineering Limited will use reasonable measures designed to protect ApexIQ WinCommand™.

No security certification, completed penetration testing claim, encryption at rest claim, data residency commitment, uptime commitment, recovery commitment, or service credit is provided for trial access unless expressly stated in writing.

Suspected security issues or vulnerability concerns should be reported to security@apexedgesalesengineering.com.

19. Suspension or termination of trial access

Apex Edge Sales Engineering Limited may suspend, restrict, or terminate trial access at any time where it reasonably believes that:

1. the trial user has breached these Trial Terms;
2. the trial user has breached the Acceptable Use Policy;
3. trial access creates a legal, security, operational, supplier, regulatory, or reputational risk;
4. Restricted Data has been entered;
5. credentials or access have been compromised;
6. trial access is being misused;
7. the trial user is using the trial for competitive analysis or unauthorised benchmarking;
8. suspension is required by law, supplier requirement, court order, regulator, or security need;
9. the trial has expired.

Where practicable and lawful, Apex Edge Sales Engineering Limited may provide notice of suspension or termination.

20. Intellectual property

ApexIQ WinCommand™, ApexIQ methods, templates, structures, prompts, scoring logic, documentation, software, branding, user interface, workflows, service logic, and related intellectual property are owned by Apex Edge Sales Engineering Limited or its licensors.

Trial users must not:

• copy, modify, adapt, translate, or create derivative works of the service;
• reverse engineer, decompile, disassemble, or attempt to derive source code, prompts, scoring logic, recommendation logic, templates, workflows, or methods;
• scrape, extract, benchmark, or analyse the service for competitive purposes;
• use the service to build, train, support, or improve a competing product or service;
• remove proprietary notices;
• use Apex Edge Sales Engineering Limited names, trade marks, or branding without written permission.

21. Confidentiality

Trial users may receive access to non-public product, technical, commercial, pricing, security, roadmap, or operational information.

Trial users must keep such information confidential and use it only for evaluating ApexIQ WinCommand™. Apex Edge Sales Engineering Limited will treat trial user confidential information in accordance with the applicable agreement and privacy documentation.

22. Disclaimers

Trial access is provided on an "as is" and "as available" basis.

Apex Edge Sales Engineering Limited does not warrant that trial access will be uninterrupted, error-free, secure, available at all times, complete, accurate, suitable for any particular purpose, free from defects, compatible with trial user systems, or retained after trial expiry.

ApexIQ WinCommand™ does not guarantee a Technical Win, a signed customer contract, increased revenue, improved forecast accuracy, procurement approval, legal compliance, security approval, privacy compliance, or commercial success.

23. Liability

Trial access is provided free of charge unless expressly agreed otherwise.

Nothing in these Trial Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.

Subject to that, because trial access is provided free of charge, Apex Edge Sales Engineering Limited has no liability to the trial user arising out of or in connection with trial access. In any event, Apex Edge Sales Engineering Limited is not liable for any indirect, special, or consequential loss, or for any loss of profit, revenue, business, goodwill, or data, even if foreseeable. These exclusions and limitations apply to the maximum extent permitted by law and survive termination.

24. No obligation to offer paid subscription

Apex Edge Sales Engineering Limited is not required to offer a paid subscription after trial access.

Apex Edge Sales Engineering Limited may refuse conversion to paid subscription where it reasonably believes the prospective subscriber is unsuitable, high-risk, unlawful, unsupported, outside the intended market, or unable to comply with the Agreement.

25. Communications

Apex Edge Sales Engineering Limited may send trial-related communications, including account verification, password reset, service notifications, usage notices, trial expiry notices, trial conversion information, security notices, policy updates, product updates, and feedback requests.

These are service and operational communications relating to the trial. Apex Edge Sales Engineering Limited does not send marketing communications.

27. Changes to Trial Terms

Apex Edge Sales Engineering Limited may update these Trial Terms from time to time.

Where changes are material, Apex Edge Sales Engineering Limited may provide notice by email, account notice, website notice, in-product notice, or another reasonable method.

Continued use of ApexIQ WinCommand™ after updated Trial Terms take effect may constitute acceptance of the updated terms where permitted by law.

28. Governing law and jurisdiction

These Trial Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction, except that Apex Edge Sales Engineering Limited may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, Confidential Information, systems, or security.
